Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Tamarac platform, website, and related services (collectively, the "Service") provided by Tamarac Technologies ("Company", "We", "Us", or "Our"). By accessing or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Definitions

• Account means a unique account created for you or your organization to access the Service.
• Customer or You means the individual or legal entity that registers for or uses the Service.
• Customer Data means data, content, and materials submitted to or stored in the Service by or on behalf of Customer.
• Service means the Tamarac airport management software platform, website at tamaractech.com, and any related applications, APIs, or support services provided by the Company.
• Subscription means the paid or trial access plan under which Customer is permitted to use the Service.

Eligibility and Account Registration

You must be at least 18 years old and capable of forming a binding contract to use the Service. You agree to provide accurate, current, and complete registration information and to keep your Account credentials confidential.

You are responsible for all activity that occurs under your Account, whether authorized or not. Notify Us immediately at carson@tamaractech.com if you suspect unauthorized access.

Use of the Service

Subject to these Terms and payment of applicable fees, We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business operations during your Subscription term.

You agree not to:

• Use the Service in violation of any applicable law or regulation
• Reverse engineer, decompile, or attempt to extract source code from the Service
• Interfere with or disrupt the integrity or performance of the Service
• Access the Service to build a competing product or service
• Share Account credentials or sublicense access except as expressly permitted
• Upload malicious code, spam, or content that infringes third-party rights

Subscriptions and Payment

Access to certain features may require a paid Subscription. Fees, billing cycles, and plan details are described at the time of purchase or in your order form. Unless otherwise stated, Subscriptions renew automatically at the then-current rate.

Fees are non-refundable except where required by law or expressly stated in writing. We may suspend or terminate access for overdue payment after reasonable notice.

Customer Data

You retain ownership of Customer Data. You grant Us a limited license to host, process, transmit, and display Customer Data solely to provide, maintain, and improve the Service and as otherwise described in our Privacy Policy.

You are solely responsible for the accuracy, quality, and legality of Customer Data and for obtaining any rights or consents required to submit it to the Service.

Intellectual Property

The Service, including software, design, documentation, trademarks, and all related intellectual property, is owned by the Company or its licensors. Except for the limited license granted above, no rights are transferred to you under these Terms.

Feedback you provide may be used by Us without restriction or compensation. We may reference your organization name and logo as a customer with your prior consent.

Third-Party Services

The Service may integrate with or link to third-party products and services. We are not responsible for third-party terms, privacy practices, or availability. Your use of third-party services is at your own risk and subject to their terms.

Availability and Support

We strive to maintain reliable Service availability but do not guarantee uninterrupted or error-free operation. Scheduled maintenance, upgrades, and events outside our reasonable control may affect access.

Support scope and response times depend on your Subscription plan and any applicable support agreement.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will meet your requirements, that operation will be uninterrupted or error-free, or that results obtained from the Service will be accurate or reliable. The Service is a management tool and does not replace professional judgment, regulatory compliance review, or operational procedures required at your airfield.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Indemnification

You agree to defend, indemnify, and hold harmless the Company and its affiliates from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, Customer Data, or violation of these Terms.

Term and Termination

These Terms remain in effect while you use the Service. Either party may terminate a Subscription according to the applicable agreement. We may suspend or terminate access immediately if you materially breach these Terms or if required by law.

Upon termination, your right to access the Service ends. We may delete Customer Data after a reasonable retention period unless otherwise required by law or your agreement. Sections that by their nature should survive termination will survive.

Governing Law

These Terms are governed by the laws of the State of Utah, United States, without regard to conflict-of-law principles. Any dispute arising under these Terms shall be brought in the state or federal courts located in Utah, and you consent to their jurisdiction.

Changes to These Terms

We may update these Terms from time to time. We will post the revised Terms on this page and update the "Last updated" date. Material changes may also be communicated by email or through the Service. Continued use after changes become effective constitutes acceptance of the revised Terms.
